UGSN Ambassador Program Terms & Conditions

Effective Date: May 20, 2026

Welcome to the UGSN Ambassador Program operated by UGSN LLC (“UGSN,” “we,” “our,” or “us”). By participating in the UGSN Ambassador Program, all members agree to the following terms, conditions, policies, and guidelines.

1. Program Overview

The UGSN Ambassador Program allows eligible UGSN members to earn referral-based commissions by inviting new members into the UGSN community through their personal referral link.

The Ambassador Program is designed to promote:

  • community growth
  • networking
  • leadership
  • entrepreneurship
  • positive environments
  • support and opportunity

Participation in the Ambassador Program is voluntary.

2. Eligibility Requirements

To participate in the Ambassador Program, members must:

  • be an active UGSN member
  • maintain an active membership status
  • follow all UGSN community rules and guidelines
  • provide accurate account and payout information
  • operate lawfully and professionally

UGSN reserves the right to approve, deny, suspend, or terminate participation at its sole discretion.

3. Ambassador Referral Structure

The UGSN Ambassador Program operates using a referral-based compensation structure designed to reward ambassadors for helping grow the UGSN community.

Direct Referral Bonus

Ambassadors may earn a one-time $50 Direct Referral Bonus for each qualifying member they personally refer who successfully joins UGSN, completes payment, and maintains an active membership in accordance with current UGSN policies.

Residual Commissions

In addition to Direct Referral Bonuses, ambassadors may be eligible to earn $10 monthly residual commissions on qualifying active memberships within their referral organization.

Residual commissions may be paid up to three (3) levels deep within the referral structure.

The UGSN Ambassador Program operates with unlimited width, meaning there is no limit to the number of direct referrals an ambassador may personally enroll.

Residual commissions are only paid on active qualifying memberships that remain current, active, and in good standing.

UGSN reserves the right to verify referral activity, qualifying memberships, payment status, and commission eligibility before issuing any commission payments.

Commission structures, payout amounts, qualification requirements, and program details may be modified, updated, limited, expanded, or adjusted by UGSN at any time without prior notice.

4. Commission Payments

Direct Referral Bonus payments are generally processed on Fridays following verification of qualifying referrals and successful membership payments.

Residual commission payments are generally processed monthly between the 1st and 5th day of each month, subject to verification, payment processing schedules, fraud prevention reviews, membership status verification, and operational requirements.

UGSN may utilize multiple payout methods including but not limited to:

• Stripe
• Stripe Connect
• Cash App
• Zelle
• Other approved payout methods

Members may be required to create and maintain a valid Stripe or Stripe Connect payout account in order to continue receiving commissions, particularly once certain payout thresholds or verification requirements are met.

UGSN reserves the right to:

• Delay payouts for verification purposes
• Review suspicious activity
• Request additional identity verification
• Deny fraudulent or invalid commissions
• Adjust commission calculations when memberships become inactive
• Modify payout methods at any time

Commission payments are not guaranteed and remain subject to active membership status, qualifying referrals, successful membership payments, compliance with UGSN policies, and ongoing program eligibility requirements.

5. Taxes & Financial Responsibility

Ambassadors are solely responsible for:

  • reporting personal earnings
  • paying applicable taxes
  • complying with local, state, and federal laws
  • maintaining accurate financial information

UGSN and its payment providers may request tax documentation or issue applicable tax reporting forms when legally required.

Members are responsible for understanding their own tax obligations.

6. Prohibited Conduct

Ambassadors may NOT:

  • engage in illegal activity
  • post misleading income claims
  • guarantee earnings
  • use spam or unauthorized advertising
  • engage in harassment or abusive conduct
  • post offensive, explicit, or inappropriate content
  • misrepresent UGSN or the Ambassador Program
  • promote fraudulent activity
  • violate platform rules or laws

UGSN reserves the right to immediately suspend or terminate any account involved in prohibited conduct.

7. No Guaranteed Earnings

Participation in the Ambassador Program does not guarantee earnings, income, profits, or financial success.

Commission earnings depend on:

  • member activity
  • successful referrals
  • community participation
  • active memberships
  • program structure
  • overall community growth

Individual results will vary.

8. Active Membership Requirement

In order to remain eligible for ambassador commissions, rewards, referral earnings, or participation in the UGSN Ambassador Program, all ambassadors must maintain an active UGSN membership at all times.

This means:

  • monthly membership payments must remain current
  • membership accounts must remain active and in good standing
  • suspended, canceled, expired, unpaid, or inactive accounts are not eligible to receive commissions

Ambassadors who fail to maintain an active membership may:

  • lose commission eligibility
  • forfeit unpaid commissions
  • lose ambassador access
  • temporarily or permanently lose referral privileges

Commission eligibility is directly connected to maintaining an active UGSN membership.

Even if an ambassador has existing referrals or a large referral network, the ambassador must remain an active paying member in order to continue receiving monthly commission payouts associated with their referral structure.

Once membership status becomes active again, eligibility for future commissions may resume subject to current program policies and verification requirements.

9. Active Referral Requirement

Ambassador commissions are calculated based on active qualifying memberships only.

Direct Referral Bonuses and residual commissions are only earned on qualifying memberships that remain active, paid, and in good standing according to current UGSN policies.

This means ambassadors will only receive commissions for referrals that:

  • maintain an active paid membership
  • remain in good standing
  • continue paying their required monthly membership fees

If referred members cancel, stop paying, become inactive, request refunds, experience failed payments, or otherwise lose active membership status, the ambassador associated with those memberships may no longer receive commissions connected to those inactive accounts.

Example

If an ambassador refers 100 members, but only 50 members remain active and current on their monthly membership payments, commissions will only be calculated based on the 50 active qualifying memberships.

Commission amounts may increase or decrease over time depending on:

  • active member participation
  • successful payments
  • membership status
  • community growth
  • program structure

UGSN reserves the right to verify all qualifying memberships and adjust commissions accordingly.

10. Subscription Billing & Payment Notifications

UGSN memberships operate on a recurring monthly subscription basis.

Members will receive automatic billing reminders, payment notifications, renewal notices, failed payment alerts, and subscription-related communications through Stripe and/or other approved payment processing systems associated with the UGSN platform.

It is the member’s responsibility to:

  • maintain valid payment information
  • monitor billing notifications
  • ensure successful monthly payments
  • keep account and contact information current

Failure to maintain an active subscription payment may result in:

  • inactive membership status
  • temporary suspension of ambassador privileges
  • loss of commission eligibility
  • interruption of community access
  • forfeiture of commissions connected to inactive memberships

UGSN is not responsible for missed notifications caused by:

  • incorrect email addresses
  • spam/junk mail filtering
  • blocked communications
  • outdated account information
  • third-party service interruptions

Members are responsible for monitoring their subscription status and ensuring their membership remains active and current.

11. Stripe Connect & Payout Verification Requirements

UGSN may provide smaller commission payouts through approved manual payment methods during early participation stages or for lower payout amounts.

However, once an ambassador reaches cumulative commission earnings of $500 or greater, the ambassador may be required to:

  • create a Stripe Connect payout account
  • complete identity verification
  • provide accurate tax and payout information
  • comply with payout processor requirements

Failure to complete required payout verification or Stripe Connect setup may result in:

  • delayed payouts
  • paused commissions
  • temporary payout holds
  • suspension of future commission eligibility until verification is completed

UGSN reserves the right to require Stripe Connect or other approved payout verification methods at any time for security, compliance, tax reporting, fraud prevention, operational, or payout processing purposes.

Members are responsible for maintaining accurate payout and account information in order to continue receiving ambassador commissions.

12. Stripe Connect Account Setup & Payout Requirements

Once an ambassador reaches cumulative commission earnings of $500 or greater, the ambassador will be required to create and connect a valid Stripe Connect payout account in order to continue receiving commission payouts through the UGSN Ambassador Program.

As part of the Stripe Connect onboarding and verification process, ambassadors may be required to:

  • provide legal name and contact information
  • verify identity
  • connect a valid bank account or eligible payout method
  • provide tax-related information when required
  • comply with Stripe’s payout verification and compliance procedures

Commission payouts above the required threshold may be processed through Stripe Connect and deposited directly into the ambassador’s connected payout account or approved banking method associated with Stripe.

Failure to complete Stripe Connect setup, identity verification, or payout requirements may result in:

  • delayed payouts
  • temporary payout holds
  • paused commissions
  • suspension of payout eligibility until requirements are completed

UGSN reserves the right to require Stripe Connect or other approved payout verification systems for security, operational, tax reporting, fraud prevention, and compliance purposes at any time.

Members are solely responsible for:

  • maintaining accurate payout information
  • maintaining active banking details
  • ensuring payout accounts remain in good standing
  • complying with all applicable financial and tax obligations

13. Membership Billing, Payment Authorization & Fraud Prevention

UGSN memberships operate on a recurring monthly subscription basis processed through Stripe and/or other approved payment processing providers.

By enrolling in a UGSN membership or Ambassador Program, members authorize recurring monthly subscription charges using their selected payment method.

Members are responsible for:

  • maintaining valid payment methods
  • ensuring sufficient available funds
  • keeping billing information current and accurate
  • monitoring recurring subscription payments

Use of fraudulent payment methods, unauthorized cards, stolen financial information, chargeback abuse, payment manipulation, or any unlawful financial activity is strictly prohibited.

UGSN reserves the right to:

  • suspend or terminate accounts associated with fraudulent activity
  • deny memberships or ambassador participation
  • reverse commissions connected to fraudulent payments
  • report suspected unlawful activity when necessary
  • restrict access to the platform or community

Failed, declined, disputed, reversed, refunded, or unpaid subscription payments may result in:

  • inactive membership status
  • loss of ambassador eligibility
  • forfeiture of commissions
  • temporary or permanent account suspension

Members are solely responsible for ensuring their payment methods remain valid and active in order to maintain uninterrupted access to UGSN memberships, community participation, and ambassador commission eligibility.

14. Ambassador Promotion & Marketing Guidelines

UGSN ambassadors are expected to promote the UGSN community, membership platform, and referral opportunities in a professional, respectful, lawful, and positive manner at all times.

Ambassadors may promote their referral links through:

  • social media platforms
  • personal websites
  • networking opportunities
  • word-of-mouth referrals
  • online content
  • community outreach
  • other lawful promotional methods

All promotional activity must comply with:

  • applicable laws and regulations
  • social media platform rules
  • advertising guidelines
  • payment processor policies
  • community standards
  • UGSN policies and expectations

Ambassadors may NOT:

  • engage in illegal promotion methods
  • use misleading or deceptive marketing
  • guarantee earnings or financial success
  • make false income claims
  • promote unlawful activity
  • use spam, harassment, or abusive solicitation
  • post harmful, explicit, discriminatory, violent, or inappropriate content
  • impersonate UGSN representatives or leadership
  • damage the reputation of UGSN, its members, partners, or community

UGSN was created to promote growth, opportunity, networking, leadership, positivity, and community support. Ambassadors are expected to represent the platform in a manner consistent with these values.

UGSN reserves the right to suspend, restrict, or permanently terminate ambassador accounts associated with improper, unlawful, misleading, harmful, or damaging promotional activity.

15. Marketing Materials & Independent Promotion

UGSN ambassadors are encouraged to promote the UGSN community using their own creativity, marketing strategies, websites, landing pages, domains, social media content, postcards, flyers, videos, and other promotional methods.

Ambassadors may create and use their own marketing materials provided that all information presented is truthful, accurate, and consistent with current UGSN policies, memberships, compensation information, and community guidelines.

Ambassadors may not:

• Make false or misleading income claims
• Guarantee earnings or financial success
• Misrepresent UGSN memberships, benefits, pricing, or compensation
• Present themselves as official UGSN corporate representatives without authorization
• Use deceptive, unlawful, fraudulent, or misleading marketing practices

UGSN reserves the right to require correction or removal of promotional materials that violate these Terms & Conditions or misrepresent the UGSN platform.

Ambassadors remain independent promoters and are responsible for all content, advertising, and marketing materials they create and distribute.

16. Refunds, Disputes & Chargebacks

Membership fees, subscription payments, and ambassador-related purchases may be non-refundable unless otherwise required by applicable law.

Members who initiate fraudulent chargebacks, payment disputes, unauthorized reversals, or abuse payment dispute systems may have their:

  • membership suspended or terminated
  • ambassador privileges revoked
  • commissions forfeited
  • platform access restricted or permanently removed

UGSN reserves the right to dispute chargebacks and provide supporting records including:

  • payment records
  • account activity
  • referral history
  • communications
  • membership status
  • login history
  • subscription agreements

Refund requests may be reviewed on a case-by-case basis at UGSN’s sole discretion.

17. Account Suspension & Termination

UGSN reserves the right to suspend, restrict, disable, or permanently terminate any membership or ambassador account at any time for:

  • violation of these Terms & Conditions
  • fraudulent activity
  • abusive conduct
  • payment issues
  • unlawful activity
  • harmful behavior toward the community
  • misuse of the platform or referral system

Upon suspension or termination, members may lose:

  • ambassador access
  • referral privileges
  • unpaid commissions
  • community access
  • future participation eligibility

UGSN reserves the right to investigate violations and take appropriate action as necessary to protect the platform and community.

18. Limitation of Liability

To the maximum extent permitted by law, UGSN, its owners, affiliates, partners, employees, contractors, representatives, and service providers shall not be liable for:

  • indirect damages
  • incidental damages
  • lost profits
  • lost business opportunities
  • data loss
  • payment processor interruptions
  • technical platform issues
  • system outages
  • third-party service failures
  • unauthorized account access
  • referral tracking interruptions

Participation in the UGSN Ambassador Program is at the member’s own risk.

19. Modifications to the Program

UGSN reserves the right to:

  • modify these Terms & Conditions
  • update commission structures
  • change referral requirements
  • modify membership pricing
  • suspend or discontinue portions of the program
  • update payout methods
  • revise community guidelines

Changes may become effective immediately upon posting updated terms on the UGSN website or platform.

Continued participation in the Ambassador Program constitutes acceptance of any updated terms.

20. Acceptance of Terms

By participating in the UGSN Ambassador Program, creating an ambassador account, using a referral link, receiving commissions, or maintaining an active membership, members acknowledge that they have read, understood, and agreed to these Terms & Conditions.
